1. Introduction
Welcome to HOACentralPH. These Terms of Service ("Terms") govern your access to and use of hoacentralph.com (the "Service"), a digital management platform for Homeowners' Associations in the Philippines, operated by HOACentralPH ("we," "our," or "us").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
These Terms incorporate by reference our Privacy Policy, which describes how we collect, use, and protect your personal data.
2. Description of Service
HOACentralPH provides a suite of digital tools for homeowners association administration, including:
- Billing & Collection: Digital invoicing, payment tracking, and automated reminders for association dues, with support for Philippine payment channels including GCash, Maya, and bank transfers.
- Resident Portal: A dashboard for homeowners to view payment history, download documents (bylaws, financial reports, certificates), and update profile information.
- Communication: SMS, email, and in-app messaging tools for board members to broadcast announcements and reach residents.
- Facility Management: Booking systems for clubhouses, amenities, and service request tracking.
- Gate Pass System: QR-based visitor and vehicle pass management for security.
- Digital Elections: DHSUD-compliant online voting for HOA board elections.
- Document Management: Secure storage and sharing of association governing documents, financial statements, and meeting minutes.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice to subscribers.
3. Eligibility & Account Registration
To use the Service, you must meet the following requirements:
- Be at least 18 years of age.
- Have the legal capacity to enter into a binding agreement.
- Be an authorized representative of a homeowners association registered with the Department of Human Settlements and Urban Development (DHSUD), or a resident/member of such an association.
- Provide accurate, complete, and current registration information.
When you create an account, you agree to:
- Account Security: Maintain the confidentiality of your login credentials and notify us immediately of any unauthorized access. You are responsible for all activities that occur under your account.
- Accurate Information: Keep your account information up to date. We are not liable for issues arising from outdated or incorrect information.
- Single Account: Each person may maintain only one account unless otherwise authorized. Sharing login credentials between individuals is prohibited.
4. User Responsibilities
As a user of the Service, you agree to:
- Lawful Use: Use the Service only for lawful purposes and in compliance with all applicable Philippine laws and regulations, including Republic Act No. 9904 (Magna Carta for Homeowners and Homeowners' Associations) and its implementing rules.
- Data Accuracy: Ensure that all information uploaded to the platform (resident lists, financial data, governing documents) is accurate, complete, and has been properly authorized for inclusion.
- Respect Privacy: Handle resident personal data in accordance with the Data Privacy Act of 2012 (RA 10173) and your association's own data privacy policies.
- No Harmful Activities: Refrain from uploading malware, engaging in denial-of-service attacks, scraping data, reverse-engineering the platform, or attempting to circumvent security measures.
- Respectful Conduct: Use communication tools respectfully. Harassment, hate speech, spam, and abusive behavior are prohibited.
5. Obligations of the HOA
When an HOA subscribes to the Service, the association (through its Board of Directors or authorized officers) agrees to additional responsibilities:
- Data Controller: The HOA acts as the Data Controller for resident personal data processed through the platform, as defined under the Data Privacy Act.
- Lawful Basis: The HOA must establish a lawful basis for collecting and processing resident data through the platform, and maintain its own privacy policy.
- Authorized Users: The HOA is responsible for managing access levels of its board members, officers, and staff, and promptly revoking access when individuals leave their positions.
- Financial Records: The HOA remains responsible for the accuracy of financial records and compliance with auditing requirements.
- Dispute Resolution: The HOA is responsible for resolving disputes between residents and the board. We provide the platform but are not a party to HOA governance decisions.
6. Subscription & Payments
The following terms apply to paid subscriptions:
- Subscription Fees: Fees are charged on a monthly or annual basis as selected during signup. Current pricing is available on our website or through your account dashboard.
- Payment Processing: Payments are processed through third-party gateways including GCash, Maya, and bank transfers. Third-party processing fees may apply and are disclosed at the time of transaction.
- Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 7 days before the renewal date.
- Non-Payment: Failure to pay subscription fees may result in suspension or termination of access to the Service. We will provide reasonable notice before taking such action.
- Refunds: Subscription fees are generally non-refundable unless otherwise required by Philippine law. Refund requests are evaluated on a case-by-case basis.
- Price Changes: We reserve the right to modify pricing with at least 30 days' advance notice. Continued use after a price change constitutes acceptance of the new pricing.
7. Intellectual Property
All intellectual property rights in the Service — including software code, user interface design, graphics, logos, trademarks, and documentation — are owned by or licensed to HOACentralPH.
- Our Content: You may not copy, modify, distribute, sell, or create derivative works from our platform, code, or design without our express written permission.
- Your Data: You retain ownership of all data you upload to the platform. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you.
- Feedback: Any feedback, suggestions, or feature requests you submit may be used by us without restriction or obligation of compensation.
8. Third-Party Services & Integrations
The Service integrates with or links to third-party services, including:
- Payment gateways (GCash, Maya, bank transfer providers)
- Communication services (SMS providers, email delivery services)
- Messaging platforms (Messenger)
- Cloud infrastructure providers
We are not responsible for the content, availability, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.
9. Limitation of Liability
To the fullest extent permitted by Philippine law:
- Service Availability: While we strive for high availability, we do not guarantee uninterrupted or error-free operation of the Service.
- No Liability for HOA Decisions: We provide the platform as a tool; we are not responsible for decisions made by HOA boards, officers, or members using the platform.
- No Liability for Disputes: We are not a party to disputes between an HOA and its residents, between residents, or between board members.
- Data Loss: While we maintain backups, we are not liable for data loss resulting from circumstances beyond our reasonable control, including but not limited to force majeure events, third-party actions, or user error.
- Indirect Damages: In no event shall HOACentralPH be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Liability Cap: Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless HOACentralPH, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your violation of applicable laws or regulations
- Content or data you upload to the platform that infringes third-party rights
- Disputes between you and other users of the Service
11. Termination
We may terminate or suspend your access to the Service at any time, with or without cause, with reasonable notice where practicable:
- By You: You may cancel your account at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
- By Us for Breach: We may suspend or terminate access immediately if you violate these Terms, applicable laws, or if your conduct creates risk or potential legal exposure for us.
- Effect of Termination: Upon termination, your right to access the Service immediately ceases. We will provide a reasonable opportunity to export your data before permanent deletion, subject to any legal retention requirements.
- Survival: Provisions relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.
- Jurisdiction: Any legal action arising from these Terms shall be brought exclusively in the courts of Bulacan, Philippines, or the proper regional trial court with jurisdiction.
- Alternative Dispute Resolution: We encourage parties to seek amicable resolution through negotiation or mediation before resorting to litigation, in accordance with Republic Act No. 9285 (Alternative Dispute Resolution Act of 2004).
- Waiver of Class Action: You agree to resolve disputes on an individual basis and waive any right to participate in a class action or representative proceeding.
13. Changes to These Terms
We may modify these Terms from time to time. Material changes will be communicated via:
- Email notification to account holders at least 14 days before the changes take effect
- A prominent notice within the platform
- An updated "Last Updated" date at the top of this page
Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service before the changes take effect.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and HOACentralPH regarding the Service.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms to a successor in interest without restriction.
- Electronic Communications: You consent to receive communications from us electronically, including via email, in-app notifications, and SMS.
